Laki varainsiirtoverolain muuttamisesta
Eduskunnan päätöksen mukaisesti muutetaan varainsiirtoverolain (931/1996) 15 §:n 3 ja 4 momentti sekä lisätään 4 §:ään, sellaisena kuin se on osaksi laissa 1426/2006, uusi 5 momentti, jolloin nykyinen 5 momentti siirtyy 6 momentiksi, ja 29 §:ään, sellaisena kuin se on osaksi laissa 526/2010, uusi 2 momentti, jolloin nykyinen 2—4 momentti siirtyvät 3—5 momentiksi, seuraavasti:
4 §Veron kohde ja verovelvollinen
Veroa ei ole suoritettava, kun luonnollisen henkilön omaisuutta siirretään osakeyhtiöön tuloverolain (1535/1992) 24 §:ssä tarkoitetussa toimintamuodon muutoksessa.
15 §Veron kohde ja verovelvollinen
Mitä 4 §:n 3—6 momentissa säädetään kiinteistön luovutuksesta ja muusta saannosta, sovelletaan myös arvopaperin luovutukseen ja muuhun saantoon.
Osakkeenomistajan ei ole suoritettava veroa 4 §:n 6 momentissa tarkoitetun sulautumisen tai jakautumisen perusteella saamistaan vastanottavan yhtiön uusista osakkeista. Vastaanottavan yhtiön on suoritettava veroa siltä osin kuin vastike sulautuvan tai jakautuvan yhtiön osakkeista suoritetaan muuna omaisuutena kuin vastaanottavan yhtiön uusina osakkeina.
29 §Kiinteistön luovutuksesta esitettävä selvitys
Edellä 4 §:n 5 momentissa tarkoitetuissa tilanteissa riittävänä kirjaamisviranomaiselle annettavana selvityksenä siitä, että veroa ei ole suoritettava, pidetään yhtiön perustamissopimuksen yhteydessä laadittua apporttiomaisuuden luovutuskirjaa, jossa on yksilöity mainitussa momentissa tarkoitettu omaisuus, ja verovelvollisen vakuutusta siitä, että kyse on mainitussa momentissa tarkoitetusta omaisuuden siirrosta.

Tämä laki tulee voimaan päivänä kuuta 20 .
