What is proposed
The minimum share capital requirement of 2,500 euros for private limited liability companies and housing companies would be abolished, and the obligation for co-operatives to accumulate a reserve fund of up to 2,500 euros would also be removed.
What it means
The change would make it easier for microenterprises and sole proprietors to start operating in the form of a limited liability company without personal financial liability, and it would streamline electronic company registration. It would affect approximately 11,400 limited liability companies established each year, and previously established companies and co-operatives could also reduce their share capital or reserve funds. The acts are intended to enter into force on 1 July 2019.

Key points of the debate
Parliament was broadly unanimous on abolishing the minimum capital requirement for limited liability companies, which was seen as lowering the threshold for entrepreneurship and dismantling unnecessary bureaucracy. During the debate, however, concerns were raised about maintaining creditor protection and the need to reform social security for entrepreneurs. All parliamentary groups supported the approval of the bill.
- Does abolishing the minimum capital requirement weaken creditor protection?
- Does doing away with the capital requirement increase the risk of the shadow economy or unjustified bankruptcies?
- National Coalition PartyIn favour
The reform promotes the establishment of knowledge-intensive and start-up companies, as companies' most important capital today is often intangible expertise.
”Kyllä tänä päivänä yrityksen omaisuudesta suurempi osa on yrityksen työntekijöissä elikkä osaamisessa eikä siinä pääomassa.”
— Eero Suutari - Centre PartyIn favour
Abolishing the minimum capital requirement cuts red tape and makes it easier, in particular, for microenterprises and young people to start businesses.
”Tämä helpottaa ammatinharjoittamista ja varsinkin mikro- ja pienyritystoimintaa ilman henkilökohtaista vastuuta.”
— Arto Pirttilahti - Blue ReformIn favour
The fixed capital requirement of 2,500 euros has been irrelevant in terms of creditor protection, and abolishing it reduces the administrative burden on small entrepreneurs.
”Talousvaliokunta katsoo, että voimassa oleva vähimmäispääomaa koskeva vaatimus — eli 2 500 euroa — on velkojien suojan kannalta tosiasiallisesti merkityksetön.”
— Martti Mölsä - Finns PartyIn favour with reservations
The group considers cutting red tape to be positive, but warns of weakened creditor protection and the establishment of companies without sufficient financial commitment.
”Toivon, että hyvin tarkkaan seurataan, mikä esimerkiksi velkojien suoja tulee olemaan.”
— Toimi Kankaanniemi - Social DemocratsIn favour
The proposal is commendable support for starting businesses, but alongside it measures are needed to help SMEs internationalise and make it smoother to wind down business operations.
”usein kysymys on se, että suurin pääoma on kuitenkin aloittavissa yrityksissä henkisen pääoman omistaminen ja osuus.”
— Lauri Ihalainen - GreensIn favour
Lowering the threshold for entrepreneurship is positive, but as working life changes, it is also important to reform the social security system and monitor creditor protection.
”Tämä on hyvä esitys, ja on tärkeää, että yrittämisen kynnystä madalletaan.”
— Pekka Haavisto - Christian DemocratsIn favour
Abolishing the capital requirement is welcome deregulation that lowers the threshold for becoming an entrepreneur and taking responsibility for one's own livelihood.
”Nyt tämä esitys tarttuu tähän asiaan ja poistaa tämän vähimmäispääomavaatimuksen, helpottaa yrittämistä.”
— Antero Laukkanen
