The administration of limited liability companies and co-operatives will be eased, and the process of closing down operations and winding up will be streamlined. The changes will remove unnecessary bureaucracy for companies and speed up the execution of corporate and financial arrangements.

Restoring companies to the trade register
A company deregistered from the trade register due to a failure to submit notifications will be able to apply for restoration to the register and continue its operations. Restoration requires reporting the missing information, paying any prescribed fees, and submitting the application within one year of the deregistration decision.

Taking foreign business prohibitions into account
Business prohibitions imposed or business offences committed in another EEA country can in future be taken into account in Finland when considering a business prohibition against a person. Authorities will also begin exchanging information on valid business prohibitions with other EU and EEA countries.

Digitalising the Trade Register and strengthening oversight
Filing with the Trade Register will become largely mandatory in electronic format for businesses, and companies will have to confirm their details annually. At the same time, the mandatory requirement to register in the Trade Register will be abolished for most sole traders.

Faster business registration and EU data exchange
Limited liability companies and branches established electronically must be entered into the Trade Register within five working days. At the same time, the automatic exchange of company information and beneficial ownership data between EU countries will be increased.

Enhancing EU business register data exchange
The Finnish Trade Register will be connected to a European network through which company data is exchanged directly between authorities in EU countries. If a foreign company ceases to exist in its home country, its branch in Finland will at the same time be removed from the register.
